General terms and conditions for the use of the online insertion service

A. Applicability

These General Terms and Conditions (hereinafter referred to as "GTC") govern the use of the online insertion of Wealth Investment Network – WENET AG (hereinafter referred to as "WENET AG") by all natural or legal persons ("hereinafter referred to as "Users").

Users are made aware of these Terms and Conditions during registration, and by registering, the user acknowledges and unconditionally agrees to them. These Terms and Conditions apply in addition to the General Terms and Conditions and the Privacy Policy. For the use of the online posting service, these Terms and Conditions take precedence over any other provisions.

B. Use of online insertion

Registration and maintenance of a user account on the online platform are free of charge for users. Users incur no direct or indirect costs simply by registering and using their user account.

A fee is charged for each listing; the amount of this fee is shown at the time of order placement according to the currently valid price list. Users can make changes to an already published listing at any time, but only once in total. No commission is owed for successful, independent brokering via the online listing.

Support exclusion

1. WENET AG provides the "Enter advertisement" service as a self-service.
2. Support services (telephone, e-mail, chat, written, technical or individual) are excluded for this service.
3. Information on use can only be found in the associated digital descriptions and online instructions.
4. Use is at your own risk; enquiries regarding operation, process or results cannot be processed.

C. Purpose of the online insertion

With the online insertion service of WENET AG, advertisements for plots of land, houses, real estate of all kinds, apartments, etc. (hereinafter referred to as "«Objects») The properties will be made accessible to third parties and contacts with interested parties will be established. The properties must be located in Switzerland. Both completed and planned properties for sale, as well as building land, may be listed. The online listing serves solely as a platform for brokering properties. WENET AG is not a party to the transactions between users of the online listing. Separate brokerage agreements between users and WENET AG remain reserved.

D. Registration and use

To use the online insertion service, registration and an account are required. Users are obligated to provide accurate and complete information during the registration process. There is no entitlement to registration. WENET AG may refuse registration or delete already registered users without giving reasons.

Each user may register for a maximum of one account. Multiple accounts, whether directly or indirectly accessible to a single user, are prohibited. Users agree to use their login credentials in accordance with the terms of service and not to disclose them to any third party. Users are fully responsible for maintaining the confidentiality of their login credentials. Users agree to inform WENET AG immediately of any unauthorized use of their account or any security breaches.

By registering, users agree that their data may be used and processed by WENET AG for offers, communications and services.

E. Publication of advertisements

Users can place advertisements for properties for sale on the online platform, as described in section B. Users are responsible for ensuring that the following requirements for publishing advertisements are met. There is no entitlement to publication of an advertisement. WENET AG may refuse to publish an advertisement or remove already published advertisements without giving reasons. By publishing an advertisement, WENET AG assumes no responsibility for its content. WENET AG may correct obvious errors in the advertisement independently without consulting the users.

The following requirements must be met for the publication of adverts:

• Only objects as defined in section C are permitted. above to be advertised for sale.
• The user must be the owner of the advertised property.
• The object must actually exist.
• Insertion on behalf of, via an intermediary, colleague, acquaintance etc. or similar is prohibited.
• Exclusivity of the advertisement; prohibition of cooperation with third parties:
  The publication of advertisements via online insertion is done exclusively by the user as a private individual and without the involvement of third parties, in particular without the involvement of commercial providers, real estate agents or real estate service providers.
  
  Simultaneous or parallel cooperation between the user and third parties (e.g., real estate agents or real estate service providers) in connection with the advertised property is not permitted.
  
  Example: In particular, it is impermissible if a user advertises an object as a private individual via online insertion, but at the same time collaborates with a real estate service provider or assigns tasks related to the marketing or sale of the object to them.
  
  
• The adverts must not contain any violations of personality rights, infringements of intellectual property rights, illegal or misleading content.
• The user is fully and 100% responsible for the recording of his insertion (e.g. uploading & creating text, media etc.).
• Symbolic images are prohibited.
• Published images must have a direct reference to the object
• Users must own all intellectual property rights to published information.
• Both contacting the user and viewing the property must be free of charge for interested parties.
• Properties may not be advertised for commercial purposes. Use of the online listing service by individuals and legal entities active in the real estate industry is prohibited.
• A maximum of one advert for one property is permitted per user at any one time.

Users are responsible for the accuracy and completeness of the information in their published real estate listings. Users agree to use the online listing only for lawful purposes, not for fraudulent or unauthorized purposes, and not to violate any applicable laws. The aforementioned conditions also apply to any changes to a listing. Until the changes are approved by WENET AG, the listing will remain unchanged.

WENET AG may require users to provide written proof before, during or after an insertion that the user is the owner of the object.

If an advertised property is sold, the advertisement must be deleted immediately. WENET AG may independently and irrevocably delete advertisements for sold properties or inactive advertisements.

Users explicitly agree that advertisements may be published on a variety of online platforms. WENET AG determines when, how, and on which online platforms advertisements are published. It cannot be ruled out that advertisements may also appear on online platforms to which WENET AG has no control.

F. Duties of behaviour

To ensure the functionality of the online posting platform, users agree not to take any actions that are incompatible with the purposes of the platform and/or unlawful. In particular, users agree to refrain from the following actions:

1. Listing of objects that do not exist or of which the user is not the owner.

2. Advertising misleading, deceptive or illegal content.

3. Misuse of the online insertion.

4. Commercial use of the online insertion.

5. Multiple registrations of the same user.

6. Use of false information during registration to deceive.

7. Insertion of several objects at the same time.

G. Exclusion of warranty and liability

WENET AG assumes no responsibility for the accuracy of the information in the advertisements or for the quality of the properties offered.

WENET AG is not liable for damages arising from the use of the online listing service or from transactions between users. WENET AG's liability is limited to gross negligence or willful misconduct. All liability is excluded to the extent permitted by law. WENET AG is not liable for consequential damages, lost profits, defective technology, defective software, business interruptions, or disruptions of any kind.

WENET AG accepts no liability for errors or interruptions in the functionality of the online ad placement service and/or partner platforms. WENET AG does not guarantee access to the online ad placement service and/or partner platforms and cannot guarantee that the online ad placement service and/or partner platforms or the corresponding servers are free of malware.

H. Partner platforms

WENET AG assumes no responsibility for partner platforms and cannot guarantee that partner platforms function flawlessly or are available, or that their content is legal or complete. WENET AG accepts no liability or warranty of any kind in connection with partner platforms.

I. Intellectual property rights

By publishing an advertisement, users grant WENET AG all rights to commercial use, reproduction, publication or modification of all information in an advertisement (including images, videos, texts, etc.). (indefinite License with the right, Sublicenses to forgive).

All rights to information, elements, and content of the online advertisement belong to WENET AG (in particular copyright and trademark rights) and/or WENET AG holds all necessary rights of use. WENET AG is a registered trademark and may only be used by WENET AG. Users are not granted any license or right to use WENET AG's intellectual property rights.

J. Prohibition of the use of information

Users acknowledge that the information available on the online platform (advertisements, images, videos, graphics, etc.) is legally protected and that any use, especially commercial use, is prohibited. It is expressly forbidden to systematically extract and/or use, publish, link, or commercialize the information made available on the online platform in any way.

K. Changes to the GTC and the offer

WENET AG reserves the right to amend these Terms and Conditions or its offer at any time. The amended terms will be published on the online advertisement and will come into effect upon publication.

There is no further obligation to provide information. Users have no right to the continued availability of specific services, offers, and features.

L. Cancellation

WENET AG reserves the right to terminate contractual relationships with users at any time without notice and to delete their user account. In the case of Offenses against the present Terms and Conditions or with other In case of misconduct, WENET AG will terminate the contractual relationship without notice. No compelling reasons are required for termination without notice.

M. Final provisions

Should individual provisions of these GTC be or become invalid, this shall not affect the validity of the remaining provisions.

WENET AG may transfer rights and obligations arising from the contractual relationship between users and third parties. Users require the consent of WENET AG for the transfer of rights and obligations.

Swiss law applies, excluding international conflict of laws rules. The place of jurisdiction for all disputes arising from or in connection with these Terms and Conditions is the registered office of WENET AG. WENET AG also reserves the right to bring legal action at the user's place of business/residence. Mandatory places of jurisdiction remain reserved.

N. Details of personal data

O. Image rights and ownership

Users are solely responsible for the images they upload. By uploading, users confirm that they are the rightful owners of the content or possess the necessary usage rights. WENET AG accepts no liability for images uploaded by users.

P. Breaches of the GTC

Users agree to read and comply with these Terms and Conditions in full. WENET AG reserves the right to block, take offline, or permanently remove advertisements or content without prior notice in the event of violations of these Terms and Conditions. Fees already paid will not be refunded in this case.

Advertisements may only be published directly by the property owner. WENET AG is entitled to request written proof of the owner's consent from the advertiser. If this proof is not provided within 10 days of being requested, the advertiser is obligated to pay WENET AG a contractual penalty of CHF 1,250. WENET AG expressly reserves the right to claim further damages and exercise all other rights.
